Classes Purchased Through CourseHorse
Classes purchased through CourseHorse are subject to a separate contractual relationship. When you purchase through CourseHorse, you are contracting directly with CourseHorse, Inc., not with Speak Masterfully. CourseHorse's terms of service, cancellation policies, and refund policies govern those transactions. Speak Masterfully is not a party to that contract and is not responsible for payment processing, refunds, or dispute resolution for CourseHorse transactions. Cancellation and Refund Policy
All sales are final. All purchases made directly through Speak Masterfully are non-refundable.

By completing a purchase, you acknowledge and agree to this no-refund policy.

Exceptions: Refunds may be issued solely at Speak Masterfully's discretion in cases of:

Cancellation by Speak Masterfully of a scheduled service

In the event of a class or service cancellation initiated by Speak Masterfully, you will be offered either a full refund or credit toward a future service of equal value.

Chargebacks: Initiating a chargeback without first contacting us at sara@speakmasterfully.com constitutes a breach of these Terms and may result in immediate termination of your account and denial of access to future services.

Subject to Section 22 (Dispute Resolution and Arbitration), you agree to submit to the exclusive jurisdiction of the courts located in New York County, New York, for resolution of any disputes arising from these Terms or your use of the Site that are not subject to arbitration.

16. Termination and Denial of Service
Our Right to Refuse Service
While the Site is publicly accessible, we reserve the right to refuse service, cancel orders, and deny access to purchased services or account features to anyone, at any time, for any reason, including but not limited to:

You may be unable to register for future classes or services

No refunds will be issued for denied service or terminated accounts, except at Speak Masterfully's sole discretion

Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 7 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law), and 22 (Dispute Resolution and Arbitration)

Your Right to Discontinue Use
You may stop using the Site and close your account at any time by contacting us at sara@speakmasterfully.com. Closing your account does not entitle you to any refunds for previously purchased services.

Following account closure or service denial, we may retain certain information as required by law or for legitimate business purposes, including fraud prevention and legal compliance. Please see our Privacy Policy for details on data retention.

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms without restriction.

22. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate
You and Speak Masterfully agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Arbitration Rules and Forum
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, except as modified by this Section. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

The arbitration will be conducted in New York County, New York, unless you and Speak Masterfully agree otherwise. If you are using the Site for commercial purposes, each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA Rules. If you are an individual using the Site for non-commercial purposes: (i) AAA may require you to pay a fee for the initiation of your case, unless you apply for and successfully obtain a fee waiver from AAA; (ii) the award rendered by the arbitrator may include your costs of arbitration, your reasonable attorney's fees, and your reasonable costs for expert and other witnesses; and (iii) you may sue in small claims court instead of arbitration if you so choose and meet the requirements of small claims court.

Class Action Waiver
YOU AND SPEAK MASTERFULLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Speak Masterfully agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

Arbitration Award
The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. The arbitrator's decision will follow these Terms and will be final and binding. The arbitrator will have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance of these Terms, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

Exceptions to Arbitration
Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction with respect to any Dispute related to the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Time Limit for Claims
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Opt-Out Right
You have the right to opt out of binding arbitration within thirty (30) days of the date you first accepted these Terms by sending written notice of your decision to opt out to sara@speakmasterfully.com with the subject line "ARBITRATION OPT-OUT" and including your name and address. If you opt out of arbitration, all other parts of these Terms will continue to apply. Opting out of arbitration has no effect on any previous, other, or future arbitration agreements that you may have with us.

Severability of Arbitration Provision
If any part of this arbitration provision is deemed invalid, unenforceable, or illegal, then the balance of this arbitration provision will remain in effect and will be construed in accordance with its terms as if the invalid, unenforceable, or illegal provision were not contained herein. If, however, the Class Action Waiver is found to be invalid, unenforceable, or illegal, then the entirety of this arbitration provision will be null and void, and neither you nor Speak Masterfully will be entitled to arbitrate their Dispute. In such event, the Disputes will be resolved in accordance with the governing law and jurisdiction provisions set forth in Section 15.

23. Force Majeure
Speak Masterfully shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:

Acts of God (earthquakes, floods, fires, storms, natural disasters)

War, terrorism, riots, or civil unrest

Government actions, laws, regulations, or orders

Epidemics, pandemics, or public health emergencies

Labor disputes or strikes

Internet service provider failures or disruptions

Power outages or telecommunications failures

Equipment failure or software malfunctions not caused by Speak Masterfully's negligence

Hacking, cyber attacks, or data breaches beyond our reasonable security measures

In the event of such circumstances, Speak Masterfully's performance will be excused for the duration of the force majeure event. We will make reasonable efforts to notify you of any delays and to resume performance as soon as reasonably practicable.

If a force majeure event prevents the delivery of a scheduled class or service, Speak Masterfully may, at its sole discretion: (i) reschedule the service to a later date; (ii) provide an alternative service of comparable value; or (iii) issue a refund or credit for the affected service.
​
24. Recording, Photography, and Content Usage
Recording of Classes and Sessions
Speak Masterfully may record certain online classes, workshops, or coaching sessions for quality assurance, training purposes, or to provide replay access to participants. By participating in any recorded session, you consent to being recorded and grant Speak Masterfully permission to use such recordings.

Your Recording Restrictions
Unless expressly authorized in writing by Speak Masterfully, you may not:

Record, screenshot, or capture any portion of live classes, workshops, or coaching sessions

Record or copy any pre-recorded video content, course materials, or digital resources

Share, distribute, or republish any recordings or materials provided through the Site

Use any recordings or materials for commercial purposes

Any unauthorized recording, distribution, or commercial use of Speak Masterfully content constitutes copyright infringement and a material breach of these Terms.

Participant Images and Testimonials
If you provide a testimonial, review, photograph, or video featuring your image or likeness to Speak Masterfully, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in our marketing materials, website, social media, and promotional content without compensation or further approval.

If you do not wish to be recorded or photographed, or do not wish your testimonial to be used publicly, you must notify us in writing at sara@speakmasterfully.com before participating in any session or providing any content.
